1. Scope
These terms apply to all contracts between the operator of Klyrenta named in the legal notice (“we”) and its clients (“you”) for the invoice check, the VAT pre-check and the receipt inbox for fiduciaries. Klyrenta is offered only to businesses, fiduciaries and other professionals, not to consumers. Your own terms do not apply.
2. Account and contract
The contract is concluded when you create a client account; a paid plan is added when you pay for it at Stripe. You give correct details and keep access to your email address secure, because the sign-in link is sent there. Anyone who signs in with it acts for your account.
3. What Klyrenta does
Klyrenta reads uploaded invoices and receipts automatically and checks them against fixed rules (duplicates, bank details, VAT numbers, VAT rates and amounts). Automatic reading can make mistakes. A result without findings does not mean that an invoice is genuine, correct or deductible; not every mistake, duplicate or fake bank account is detected. A changed bank account can only be detected when an earlier invoice from the same supplier is already in your account. The results are an aid for your own checks: they are not tax, legal or accounting advice and do not replace your fiduciary. You check the results before you pay an invoice or file a VAT return; the decision is yours.
4. Prices and payment
The prices on the prices page apply; the price shown when you buy is binding. Prices in CHF. No VAT is charged. Payment is made in advance through Stripe. Packs are paid once and stay valid until used up. Monthly plans renew automatically every month until you cancel them; you can cancel at any time with effect from the end of the month already paid. The free start can be used once per company. If the price of a running monthly plan changes, we tell you by email at least 30 days before; you can cancel the plan before the new price applies.
5. Refunds
- Packs (paid once): if you have not used any of the pack yet, you get your money back when you ask within 14 days of the purchase.
- Monthly plans: you can cancel at any time. The plan ends at the end of the month already paid, and that month is not refunded; until then you can keep using it.
- A charge that is our mistake, for example a double charge, is always refunded in full.
To ask for a refund, write to us with the email address of your account. Refunds go back through Stripe to the card or payment method you used.
6. Your obligations
You upload only documents that you are entitled to process, and you inform the persons concerned where the law requires it. You are responsible for the personal data in the documents; we process them on your behalf under the data processing agreement. You do not use Klyrenta for unlawful purposes, do not get around its limits and pass on upload links of the receipt inbox only to the client concerned.
7. Availability and development
We aim to keep Klyrenta available but cannot guarantee uninterrupted operation; updates and faults at providers (for example the reading service or the UID register) can cause interruptions. We may develop the service further, as long as what you have paid for stays essentially available.
8. Liability
We are liable without limit for damage caused intentionally or through gross negligence. For slight negligence our liability is limited to the fees you paid us in the 12 months before the event causing the damage, and we are not liable for indirect or consequential damage such as lost profit. Mandatory statutory liability remains reserved.
9. Data protection and end of the contract
How we process personal data is described in the privacy notice; for the documents you upload, the data processing agreement applies and forms part of these terms. You can end the contract at any time by cancelling your plans and asking us to close your account. We delete your documents and results within 30 days of your request; download what you want to keep before. An account without any activity for 24 months is deleted, unless a monthly plan is still running or paid credit is still unused. We tell you by email 30 days before; signing in keeps the account. We may end the contract with 30 days’ notice, or at once in case of serious misuse; services paid for and not yet used are then refunded, except in case of misuse.
10. Changes
We may change these terms. We tell you about changes by email at least 30 days before they take effect; if you do not agree, you can end the contract before then.
11. Applicable law and place of jurisdiction
Swiss law applies, excluding the United Nations Convention on Contracts for the International Sale of Goods (CISG). The place of jurisdiction is Winterthur.
